1. Acceptance of Terms

By accessing or using the GSR ASEAN platform ("Platform"), including the website, marketplace, compliance tools, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

2. About GSR ASEAN

GSR ASEAN is a trade-enablement platform that connects agricultural exporters, importers, and service providers across the ASEAN region. We provide compliance guidance, marketplace services, certification coordination, and trade facilitation tools. GSR ASEAN is not a government authority and does not issue official certifications, licences, or permits. Our role is to guide, coordinate, and support businesses in meeting regulatory requirements.

3. User Accounts

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. GSR ASEAN reserves the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Membership Plans

GSR ASEAN offers Free, Basic, Professional, and Enterprise membership tiers, as well as Equipment Vendor membership plans. Paid memberships are billed on a monthly or annual basis as selected at the time of purchase. Membership fees are non-refundable except where required by applicable law. GSR ASEAN reserves the right to modify membership pricing with 30 days' written notice to existing subscribers.

5. Marketplace

The GSR ASEAN Marketplace allows approved sellers to list agricultural products and allows buyers to browse and inquire about those products. GSR ASEAN acts as a facilitator and is not a party to any transaction between buyers and sellers. All product listings are subject to approval by GSR ASEAN. We reserve the right to remove any listing that violates our policies, contains inaccurate information, or is otherwise inappropriate. Sellers are solely responsible for the accuracy of their product descriptions, pricing, and compliance with applicable laws.

6. Compliance Information

The compliance information, checklists, and guidance provided on the Platform are for informational purposes only and do not constitute legal, regulatory, or professional advice. Regulatory requirements vary by country, product type, and time. Users are responsible for verifying all compliance requirements with the relevant government authorities before exporting or importing goods. GSR ASEAN makes reasonable efforts to keep information current but does not guarantee the accuracy or completeness of any compliance guidance.

7. Intellectual Property

All content on the Platform — including text, graphics, logos, icons, images, software, and document templates — is the property of GSR ASEAN or its licensors and is protected by intellectual property laws. You may download compliance forms and templates for your own business use but may not redistribute, resell, or modify them for commercial purposes without written permission.

8. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) submit false, misleading, or fraudulent information; (c) impersonate any person or entity; (d) interfere with or disrupt the Platform's operation; (e) attempt to gain unauthorised access to any part of the Platform; (f) scrape, harvest, or collect data from the Platform without permission; or (g) use the Platform to facilitate trade in prohibited or sanctioned goods.

9. Limitation of Liability

To the maximum extent permitted by law, GSR ASEAN shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, or business opportunities. GSR ASEAN's total liability for any claim arising from these Terms shall not exceed the amount you paid to GSR ASEAN in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless GSR ASEAN, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications

GSR ASEAN reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
